These Terms of Service ("Terms") govern your access to and use of the Zuri HR website, cloud platform, and ZuriHR mobile application (collectively, the "Service"), provided by Zuri HR Ltd. ("Company", "we", "our", or "us").

By accessing or using the Service, you represent that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of an employer, company, or organization, you represent that you have the authority to bind that entity to these Terms.

1. Scope of Service

Zuri HR is an integrated Human Resource Management System (HRMS) providing features such as payroll calculation, attendance and time tracking, leave management, recruitment management, document processing, and performance reviews.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to communicate major updates or disruptions in advance.

2. Accounts and Security

To access the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain the security and confidentiality of your credentials (passwords, API tokens).
  • Notify us immediately of any unauthorized access or breach of security.
  • Be solely responsible for all activities that occur under your account.

3. Payroll and Tax Compliance Disclaimer

Zuri HR calculates payroll deductions (including PAYE, NSSF, SHIF, Housing Levy, and other statutory deductions) in accordance with the prevailing labor laws of Kenya.

While we strive for absolute compliance and system accuracy, the final responsibility for verifying the accuracy of payroll runs, tax filings, and timely statutory payments rests solely on you and your organization's administrators. We do not accept liability for statutory penalties or fines resulting from calculation discrepancies, input errors, or processing delays.

4. Permitted Use and Prohibitions

You agree not to use the Service to:

  • Violate any local, national, or international laws, including data privacy laws.
  • Submit or store fraudulent, abusive, defamatory, or malicious employee data.
  • Reverse-engineer, decompile, or attempt to extract the source code of our platform or mobile application.
  • Transmit any viruses, malware, or destructive code to our infrastructure.
  • Interfere with or disrupt the integrity or performance of the Service.

5. Subscriptions, Fees, and Payments

Access to certain features of the Service requires a paid subscription. Billing terms are as follows:

  • Billing Cycle: Service fees are billed in advance on a monthly or annual basis, based on active employee headcount or tier limits.
  • Headcount Adjustments: Headcount adjustments will be reflected in your subsequent billing cycle.
  • Non-Payment: We reserve the right to suspend or terminate your account if subscription fees remain unpaid past the due date.
  • Refunds: Subscription fees are non-refundable unless explicitly stated otherwise or required by law.

6. Intellectual Property

The Service, including its design, logos, graphics, code, software, algorithms, and documentation, is the exclusive intellectual property of Zuri HR Ltd. and is protected by copyright, trademark, and other applicable laws. Your use of the Service does not grant you any ownership rights or interest in our intellectual property.

7. Customer Data

You retain all rights, title, and interest in and to the data you upload or submit to the Service ("Customer Data"). You grant us a limited, non-exclusive license to host, copy, process, and transmit Customer Data solely to provide and maintain the Service and comply with your instructions.

8. Limitation of Liability

To the maximum extent permitted by law, Zuri HR Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of goodwill, or business interruption, arising out of or in connection with your use or inability to use the Service.

9. Governing Law

These Terms shall be governed by and construed in accordance with the **Laws of the Republic of Kenya**. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Nairobi, Kenya.

10. Changes to Terms

We may update these Terms from time to time. The latest version will always be posted on this page. If a modification is material, we will provide at least 30 days' notice prior to the new terms taking effect. By continuing to access the Service after updates become active, you agree to be bound by the revised Terms.
